Terms of Service

1. Acceptance of Terms

By accessing or using the Numbors platform ("Service"), operated by Tyga.Cloud Ltd (company number 14643275, registered in England and Wales), you agree to be bound by these Terms of Service ("Terms"). Numbors is a division of Tyga.Cloud Ltd. If you do not agree, you must not use the Service.

These Terms apply to all users, including administrators, team members, and any person granted access to a Numbors account.

2. Description of Service

Numbors is a cloud-based accounting and business management platform. Features include, but are not limited to:

  • Invoicing and billing
  • Expense and receipt management
  • Payroll processing
  • Point of Sale (POS)
  • Customer Relationship Management (CRM)
  • Project and time tracking
  • Inventory management
  • Financial reporting and accounting
  • Customer portal

We may add, modify, or discontinue features at any time with reasonable notice.

3. Account Registration & Security

To use Numbors you must create an account with accurate, current information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You must notify us immediately at dpo@tyga.cloud if you suspect unauthorised access to your account.

4. Subscription Plans & Billing

Numbors offers subscription plans billed on a monthly or annual basis. Plan details and pricing are displayed on our website and within the application. By subscribing, you authorise us to charge the applicable fees to your chosen payment method.

All fees are exclusive of VAT and applicable taxes unless stated otherwise. Fees are non-refundable except where required by law or as described in our refund policy.

5. Free Trial

We may offer a free trial period. At the end of the trial, your account will require a paid subscription to continue using premium features. We will notify you before your trial expires.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorised access to any part of the Service or its infrastructure
  • Use the Service to transmit spam, phishing attempts, or unsolicited communications
  • Resell, sublicense, or redistribute the Service without our prior written consent
  • Reverse-engineer, decompile, or disassemble any part of the Service

7. Intellectual Property

All content, design, code, trademarks, and intellectual property associated with Numbors are owned by Tyga.Cloud Ltd or its licensors. You retain ownership of the data you upload to the Service. By using Numbors, you grant us a limited licence to process your data solely for the purpose of providing the Service.

8. Data Handling

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data. By using Numbors, you consent to our data practices as described therein.

9. Third-Party Services

Numbors integrates with third-party services to provide functionality. These include:

  • Stripe — payment processing
  • SendGrid — transactional email delivery
  • Plaid — bank account connections
  • GoCardless — direct debit collection

Your use of these integrations is subject to the respective third party's own terms and privacy policies. Tyga.Cloud Ltd is not responsible for the practices or availability of third-party services.

10. Service Availability & SLA

We strive to maintain high availability but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance where practicable. We shall not be liable for any downtime, data loss, or service disruption caused by factors beyond our reasonable control.

11. Limitation of Liability

To the maximum extent permitted by law, Tyga.Cloud Ltd's total aggregate liability to you for any claims arising out of or relating to the Service shall not exceed the total fees you have paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

12. Indemnification

You agree to indemnify and hold harmless Tyga.Cloud Ltd, its directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service or breach of these Terms.

13. Termination

You may cancel your account at any time through the application settings. We may suspend or terminate your access if you breach these Terms, fail to pay applicable fees, or if we are required to do so by law.

Upon termination, you may request an export of your data within 30 days. After this period, we may delete your data in accordance with our Privacy Policy.

14. Changes to Terms

We may update these Terms from time to time. Material changes will be notified via email or in-app notification at least 30 days before taking effect. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
